Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of HookRelay's webhook delivery platform and related services ("Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Description of Service
HookRelay provides a webhook delivery platform that receives webhooks from third-party providers, stores them persistently, and forwards them to your designated endpoints with delivery guarantees, retry logic, and visibility into delivery attempts.
The Service includes a dashboard for managing endpoints, viewing webhook history, and replaying events. Features and limits vary by subscription plan.
Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to transmit malware, spam, or other malicious content
- Attempt to gain unauthorized access to any systems or networks
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to violate any applicable laws or regulations
- Transmit content that infringes on intellectual property rights
- Use the Service to process sensitive personal data (health records, financial account numbers, government IDs) without appropriate safeguards
- Resell or redistribute the Service without our written consent
- Reverse engineer, decompile, or attempt to extract the source code of the Service
Subscription and Billing
Plans and Pricing
The Service is offered through various subscription plans with different features and usage limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.
Billing
Paid subscriptions are billed in advance on a monthly basis. Payment is processed through our payment provider, Stripe. You authorize us to charge your payment method for the subscription fees.
Usage Limits
Each plan includes limits on webhook events and endpoints. If you exceed your plan limits, you may be charged overage fees or asked to upgrade to a higher tier.
Refunds
Subscription fees are non-refundable except as required by law. We may offer refunds at our discretion on a case-by-case basis.
Data Processing
When you use the Service, we receive and process webhook data on your behalf. You retain ownership of your data and grant us a limited license to process it solely to provide the Service.
You are responsible for ensuring you have the right to transmit any data through the Service and for complying with applicable data protection laws.
We process data in accordance with our Privacy Policy.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice when possible.
Team plan subscribers receive SLA guarantees as specified in their service agreement.
Intellectual Property
The Service, including its design, features, and content, is owned by HookRelay and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain ownership of any code, content, or data you create or transmit through the Service.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKRELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HOOKRELAY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless HookRelay, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.
Termination
You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with or without notice.
Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and HookRelay regarding the Service.
